GOLDEN GIFT CARD CONTEST
OFFICIAL RULES
Contest Period: The Golden Gift Card Contest (the “Contest”) begins at 12:00:00 AM Eastern Time (ET) on December 1, 2025 and ends at 11:59:59 PM ET on December 31, 2025 (the “Entry Period”).
Sponsor and Administrator: The Sponsor and Administrator of this Contest is Purl NYC LLC dba Purl Soho (“Purl Soho”).
Eligibility: The Contest is open only to legal residents of the 50 United States and the District of Columbia who are at least eighteen (18) years of age or older, or the age of majority in their jurisdiction if older, at the time of entry (“Entrants”). Employees, officers, and directors (including immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of Purl Soho or its affiliated companies or advertising or promotion agencies, or any other companies associated with the Contest, are not eligible to participate in the Contest. Any person that currently works for or has worked for a company that could be considered a competitor of Purl Soho, as determined in the sole discretion of Purl Soho, is also ineligible to participate in the Contest. The Contest is subject to all applicable federal, state, and local laws, rules, and regulations. Void where prohibited or restricted by law, rule, or regulation.
How to Enter: During the Entry Period, there is only one (1) way in which to enter. No other method of entry will be accepted. To enter into the contest, Entrants must make an Eligible Purchase (as defined below) during the Entry Period. An “Eligible Purchase” is an accepted order of physical goods (not gift cards or patterns) made on Purl Soho’s website located at https://www.purlsoho.com/, in accordance with Purl Soho’s Terms of Use located at https://www.purlsoho.com/terms-of-use.
Determining Winners and Prizes: The Entrants who make each 100th Eligible Purchase accepted by Purl Soho during the Entry period (the “Winners”) will win a one hundred dollar ($100) gift card (the “Prize”). By participating, Entrants hereby agree that reports from Purl Soho shall serve as the definitive record of Eligible Purchases and shall be the determining factor in the event of any dispute. The decisions of Purl Soho are final and binding on all matters relating to this Contest.
Disqualification: Entrants will be disqualified from the Contest if they fail to comply with these Official Rules.
Prize Limitations: No transfer, assignment, or substitution of a Prize is permitted. Notwithstanding the foregoing, Purl Soho reserves the right to substitute a Prize (or portion thereof) with one of comparable or greater value, at its sole and absolute discretion.
Winner Notification: Purl Soho shall notify the Winners by delivering the Prizes with the applicable Eligible Orders during or promptly after the Entry Period.
Limitation of Liability: BY PARTICIPATING IN THIS CONTEST, ENTRANTS AGREE TO ABIDE BY THE TERMS OF THESE OFFICIAL RULES AND THE DECISIONS OF PURL SOHO, WAIVE ANY RIGHT TO CLAIM AMBIGUITY IN THESE OFFICIAL RULES, AND RELEASE, INDEMNIFY, AND HOLD HARMLESS PURL SOHO, ITS AFFILIATES, ADVERTISING AND PROMOTION AGENCIES, AND ALL OF THEIR RESPECTIVE AGENTS, EMPLOYEES, REPRESENTATIVES, OWNERS, OFFICERS, DIRECTORS, SHAREHOLDERS SUCCESSORS, AND ASSIGNS (COLLECTIVELY, “RELEASED PARTIES”) FROM AND AGAINST ANY INJURIES, LOSSES, DAMAGES, CLAIMS, ACTIONS, OR ANY LIABILITY OF ANY KIND RESULTING FROM OR ARISING FROM PARTICIPATION IN THE CONTEST, INCLUDING, BUT NOT LIMITED TO, ANY ACCEPTANCE, POSSESSION, USE, MISUSE, OR NONUSE OF A PRIZE THAT MAY BE AWARDED. WINNERS AGREE TO ACCEPT THE PRIZE “AS IS”. NEITHER PURL SOHO OR THE RELEASED PARTIES MAKE ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, CONCERNING THE PRIZE.
Additional Terms and Conditions:
Forfeiture. Entrants are subject to verification, including verification of eligibility. If an Entrant is unable to verify their information or eligibility, the Entrant will automatically be disqualified and their Prize, if any, will be forfeited. If a Prize is returned as undeliverable, the Prize will be forfeited. Purl Soho reserves the right to determine an alternate winner in accordance with these Official Rules in the event any Winner is disqualified, cannot be contacted, is deemed ineligible, or otherwise forfeits their Prize
Publicity. By participating in the Contest, Entrants hereby grant permission for Purl Soho and its designees to publish or publicize Entrants’ names, likeness, biographical information, and geographic information, in whole or in part, for advertising, promotional, trade, or other purposes in conjunction with this Contest and similar promotions in any and all media now known or hereafter developed, worldwide in perpetuity, without further notice, permission, or compensation, except where prohibited by law.
Terms of Use. All purchases and uses of any Prize are subject to Purl Soho’s applicable Terms of Use, located at https://www.purlsoho.com/terms-of-use, which are incorporated herein by reference.
Privacy Policy. Purl Soho will process Entrants’ personal information as described herein and in Purl Soho’s Privacy Policy, located at https://www.purlsoho.com/privacy-policy, which is incorporated herein by reference.
Governing Law; Jurisdiction. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in New York, New York. THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAW PRINCIPLES WHICH WOULD REQUIRE OR PERMIT THE APPLICATION OF THE LAWS OF ANY OTHER JURISDICTION. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to New York County, New York. The parties agree not to raise the defense of forum non conveniens.
Waiver; Severability. Purl Soho’s failure to enforce any terms of these Official Rules shall not constitute a waiver of that provision. A valid waiver by Purl Soho of any provision of these Official Rules must be in writing and signed by a duly authorized representative of Purl Soho. In the event any provision of these Official Rules shall be determined by any competent authority to be invalid, unlawful, or unenforceable to any extent, such provisions shall to that extent be severed from the remaining provisions which shall continue to be valid and enforceable to the fullest extent permitted by law.
Survival. Those provisions of these Official Rules which, by their nature, are intended to survive termination or expiration of these Official Rules, will remain in full force and effect following the termination or expiration of these Official Rules.
Errors. Purl Soho is not responsible for printing or typographical errors in any Contest-related materials or for lost, interrupted, or unavailable networks, servers, Internet Service Providers (ISP), websites, or other connections, availability, or accessibility or miscommunications or failed computer, satellite, telephone, or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties that may occur in connection with the administration of the Contest, the processing of entries, the placement of orders, the announcement of the Prize, or in any Contest-related materials, or the cancellation or postponement of the awarding of the Prize or any portion thereof.
Tampering and Abuse. Persons who tamper with or abuse any aspect of the Contest or website or attempt to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices, or intend to annoy, abuse, threaten, or harass any other Entrant or Purl Soho’s representatives or who are otherwise in violation of these Official Rules, as solely determined by Purl Soho, will be disqualified and all associated entries will be void. Any attempt to deliberately damage the content or operation of this Contest is unlawful and subject to legal action by Purl Soho and its agents. Purl Soho shall have the sole right to disqualify any Entrant for violation of these Official Rules or any applicable laws relating to the Contest, and to resolve all disputes in their sole discretion. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, PURL SOHO RESERVICES THE RIGHT TO DISQUALIFY ANY SUCH ENTRANT AND SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
Challenge. In the event the Contest is challenged by any legal or regulatory authority, Purl Soho reserves the right to discontinue or modify the Contest, or to disqualify Entrants residing in the affected geographic areas. In such event, Released Parties shall have no liability to any participants who are disqualified due to such an action.
Entire Agreement. These Official Rules, including the Terms of Use and Privacy Policy incorporated herein by reference, contain the entire agreement between the parties with respect to the Contest and supersedes all prior and contemporaneous communications and proposals, whether electronic, oral, or written, between the parties with respect to the Contest.
